Terms of Service

1. Relationship to Other Documents

The Software is licensed—not sold—under Stashit's End-User License Agreement ("EULA") presented at checkout. Stashit's Privacy Policy explains how we process personal data. The Maintenance & Support SLA sets response targets for customers with an active Update Term (defined in the EULA). All three documents are incorporated by reference.

2. Eligibility & Account Security

You must be at least 18 years old and have authority to bind the entity you represent. You are responsible for safeguarding any license keys, passwords, or API tokens issued to you and for all activity under them.

3. Orders, Fees, and Taxes

All prices are shown at checkout and collected by Paddle as Merchant of Record. You are responsible for any applicable taxes, duties, or bank fees.

4. Refund Policy

You may request a full refund within 30 days of the Purchase Date (as defined in the EULA) by emailing support@stashit.app with your license key. You must deactivate and delete the Software to qualify.

5. Intellectual-Property Rights

Stashit LLC retains all right, title, and interest in the Site, the Software, and all related intellectual-property rights. You may submit feedback or suggestions; you grant Stashit a worldwide, royalty-free, perpetual license to use that feedback without restriction.

6. Acceptable Use

You agree not to:

• (i) violate any applicable law;
• (ii) attempt to gain unauthorized access to Stashit systems or networks;
• (iii) use the Site to distribute malware, unlawful, or infringing content; or
• (iv) misrepresent your affiliation with Stashit.

7. Support & Updates

While you hold an active Update Term under the EULA, Stashit will supply Updates and technical support in accordance with the Maintenance & Support SLA. Access to future major versions requires purchase of an Upgrade License (see EULA § 3.3).

8. Warranties & Disclaimers

THE SITE AND SOFTWARE ARE PROVIDED "AS IS." STASHIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Your statutory rights are not affected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STASHIT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE WILL NOT EXCEED THE FEES YOU PAID DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. STASHIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE.

10. Indemnification

You will indemnify and hold Stashit harmless from any third-party claim arising out of (i) your misuse of the Site or Software, or (ii) your violation of these Terms or applicable law.

11. Export Compliance

The Software is subject to U.S. export-control laws. You may not download, use, export, or re-export the Software in or to any country or person embargoed or sanctioned by the United States.

12. Termination

Stashit may suspend or terminate your access to the Site or revoke licenses for material breach of these Terms or the EULA. Upon termination, you must stop using the Software and destroy all copies.

13. Changes to Terms

We may update these Terms on thirty (30) days' notice by posting the revised version on the Site or emailing the address on file. Continued use after the effective date constitutes acceptance of the revised Terms.

14. Miscellaneous

Force Majeure. Stashit is not liable for delays or failures caused by events beyond our reasonable control.

Assignment. You may not assign these Terms without Stashit's prior written consent; Stashit may assign in connection with a merger, acquisition, or sale of assets.

Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

Entire Agreement. These Terms, together with the EULA, Privacy Policy, SLA, and any Order, constitute the entire agreement between you and Stashit regarding the Site and Software, and supersede all prior or contemporaneous communications.

Governing Law & Venue. These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. The state and federal courts located in Pinellas County, Florida shall have exclusive jurisdiction, and both parties consent to venue and personal jurisdiction there.
